We may change our fees at any time by posting the changes on the BaseWallet site or the Service.

You authorize us to charge any payment instrument associated with your Account in case your primary payment method is declined or no longer available to us for payment of your fees.

The Service and its original Content, features, and functionality are and will remain the exclusive property of BaseWallet and its licensors.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of BaseWallet.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information about the Service provided by you to BaseWallet are non-confidential and BaseWallet shall be entitled to the unrestricted use and dissemination of these submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

You retain all your ownership rights in your User Content. However, by submitting User Content to BaseWallet, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and BaseWallet's (and its successors' and affiliates') business.

You represent and warrant that you own or control all rights in and to the User Content and have the right to grant the license above to us and our affiliates and service providers.

You understand and agree that you are solely responsible for any User Content you submit or contribute, and you, not BaseWallet, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

BaseWallet has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that BaseWallet shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

You may terminate your Account at any time by contacting us and discontinuing your use of the Service

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

To the maximum extent permitted by applicable law, in no event shall BaseWallet, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.

To the maximum extent permitted by applicable law, BaseWallet assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

BaseWallet, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

These Terms shall be governed and construed in accordance with the laws of Lagos State, the Fderal Republic of Nigeria, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Lagos State, Nigeria, using the English language in accordance with the Arbitration Rules and Procedures of [Relevant Arbitration Association] then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of arbitrators in accordance with such Rules.

The arbitrator may grant injunctions and other relief in such disputes. The decision of the arbitrator shall be final, conclusive and binding on the parties to the arbitration. Judgment may be entered on the arbitrator's decision in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. You expressly waive any right to bring a class action lawsuit against BaseWallet or its affiliates.

You agree to defend, indemnify and hold harmless BaseWallet and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your Account and password; b) a breach of these Terms, or c) User Content posted on the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on this page. What constitutes a material change will be determined at our sole discretion.

When you use the Service or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically.
